Terms of Service

These Terms of Service govern your use of the Workwell platform operated by Workwell People Solutions Limited (BC1610137), a corporation incorporated in British Columbia, Canada. By accessing or using Workwell, you agree to be bound by these terms.
1. The Parties
"Workwell", "we", "us", or "our" refers to Workwell People Solutions Limited, incorporated in British Columbia (No. BC1610137), with offices at 500โ666 Burrard St, Park Place, Vancouver, BC V6C 2X8. "Customer", "you", or "your" refers to the Canadian business entity or individual subscribing to our platform.
2. Platform Services
Workwell provides an HR information system (HRIS) including core HR management, Canadian payroll processing, performance management, employee engagement, and related services (collectively, the "Services"). Services are provided on a software-as-a-service (SaaS) basis.
3. Subscription & Payment
Subscription fees are charged in Canadian dollars (CAD) and are subject to applicable federal and provincial taxes (GST, HST, PST, QST). Fees are billed monthly or annually as selected at signup. All payments are processed securely. Workwell reserves the right to update pricing with 30 days written notice.
4. Canadian Payroll Services
Where you subscribe to Canadian Payroll services, Workwell acts as your payroll agent and will process payroll, generate T4, T4A, and RL-1 slips, file ROEs with Service Canada, and remit source deductions to the CRA on your behalf. You remain the employer of record and are responsible for ensuring employee information provided to Workwell is accurate and complete.
5. Data Ownership & Privacy
You retain full ownership of all employee data, payroll records, and HR documents stored in Workwell. We process your data only as a data processor acting on your instructions, in accordance with our Privacy Policy and PIPEDA. All data is stored in Canada.
6. Acceptable Use
You agree to use Workwell only for lawful purposes and in compliance with all applicable Canadian federal and provincial employment, privacy, and tax laws. You must not use the platform to store or process data of individuals outside Canada without prior written consent from Workwell.
7. Service Availability
We target 99.9% uptime for the Workwell platform. Scheduled maintenance will be communicated in advance. Workwell is not liable for downtime caused by circumstances outside our reasonable control, including third-party infrastructure failures or acts of God.
8. Limitation of Liability
Workwell's aggregate liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to Workwell in the 12 months preceding the claim. Workwell is not liable for any indirect, incidental, or consequential damages.
9. Governing Law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved in the courts of British Columbia, Canada.
